The Identity software ("Identity") is licensed to Computershare Investor Services PLC and any company incorporated in England and Wales, Scotland, Ireland or Jersey which is a wholly owned subsidiary of Computershare Limited (ABN 71 005 485 825) ("we" or "us"). This document tells you the permitted terms of use for Identity.
Please read these terms of use carefully before you start to use Identity. By using it, you indicate that you accept these terms of use and that you agree to abide by them. If you do not agree to these terms of use, please refrain from using Identity.

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of an access control procedure, you must treat such information as confidential, and you must not disclose it to any third party. We may disable any user identification code or password, whether chosen by you or allocated by us, if in our opinion you have failed to comply with any of the provisions of these terms of use.

You may use Identity only for lawful purposes. You may not use Identity:

We are the owner or the licensee of all intellectual property rights (including without limitation copyright, patents and trade marks) subsisting in Identity.

We do not warrant that the operation of Identity will be uninterrupted or error free or that errors will be remedied. We provide Identity as is and with all faults, and hereby disclaim all other warranties and conditions. Also, there is no warranty or condition of title, quiet enjoyment, quiet possession, correspondence to description or non-infringement with regard to Identity.
We try to detect and remove viruses and other malicious content from the materials made available via Identity. However, we cannot guarantee that the software we employ for this purpose will be fully successful at all times. For that reason we strongly advise that you use your own up-to-date virus scanning software to check any materials that you may download via Identity. You agree that we will not be liable for loss of data, system unavailability or any other loss or damage you may suffer as a result of using materials made available via Identity.
Identity also incorporates content provided by and links to the websites of third parties, including the Internal Revenue Service of the US Department of the Treasury. You agree that we are not responsible for third party content or websites and will not be liable for inaccuracies or misstatements that they may contain.
These terms of use are in lieu of all representations, warranties, conditions, terms, undertakings and obligations whether express, implied by statute, common law, custom, trade usage, course of dealing or otherwise, including, but not limited to, any (if any) implied warranties, duties or conditions of merchantability, of fitness for a particular purpose, of reliability or availability, of accuracy or completeness of responses, of results, of lack of viruses, as to title, quiet enjoyment, quiet possession, correspondence to description or non-infringement, and of lack of negligence, with regard to Identity or otherwise arising out of its use, all of which are hereby excluded to the fullest extent permitted by law.
We will not be liable in contract, tort, negligence, statutory duty or otherwise, for any loss, liability, damage, cost, charge or expense of whatever nature and howsoever caused arising from or in any way connected with Identity's output, unavailability or loss of data; or any consequential, indirect or special loss or damage whatever; or for loss of business, loss of sales, non payments of sums due, loss of profits, business interruption, loss of reputation, loss of business information, or any other pecuniary loss (even where advised of the possibility of such loss or damage).
You also agree that our maximum aggregate liability in contract, tort, negligence, statutory duty or otherwise, for any loss or damage arising from or in any way connected with your use of Identity shall be limited to 50,000 GBP.
Nothing in these terms of use shall limit liability for death or personal injury arising from negligence, liability for fraudulent misrepresentation or any other liability which cannot be limited by law.

We will be processing personal data on your behalf and thus acting as data processor for the purposes of the Data Protection Act 1998. In these circumstances, we will (i) only process personal data in accordance with your lawful and reasonable instructions; and (ii) comply with security obligations equivalent to those imposed on you as data controller by the seventh principle of that Act.
You agree that we may monitor your use of Identity and any information you send or receive to prevent or detect crime, to investigate or detect unauthorised use, to ensure security and effective operation of our systems. In particular you acknowledge and accept that we will maintain records of the time and date each Identity form is signed and that the official time zone in effect will be Eastern Standard Time. You further acknowledge and accept that we will maintain records of the Internet Protocol (IP) address, hostname, and any other available information identifying the specific computer, network, or location used to sign any Identity form.
You further agree that the data we collect in so doing may be transferred to or accessible by other members of the Computershare Group worldwide (including members located in the United States of America) and may be shared with law enforcement organisations. You agree that we may provide details of any Identity form that you submit to any withholding agent that has control, receipt, or custody of the income of which you are the beneficial owner or any withholding agent that can disburse or make payments of the income of which you are the beneficial owner.
These terms of use must also be read in conjunction with our privacy policy, which is set out at http://www.computershare.com/uk/privacy-policy. You agree that we may process your data in accordance with that privacy policy.

You hereby declare that, pursuant to the Electronic Signatures in Global and National Commerce Act (E-Sign Act), Title 15 U.S.C 7001, typing your password into the Enter your password box in the Certification on any Identity form constitutes a legally binding digital signature.
You acknowledge that you understand your rights and obligations under Title 28 U.S.C. 1746, governing unsworn declarations under penalty of perjury.

These terms of use alone (except for fraudulent misrepresentations) supersede all prior agreements, arrangements and understandings between you and us and constitute the entire agreement between you and us relating to the subject matter hereof. These terms of use may be varied only in writing when signed by you and us.

These terms of use shall be governed by and construed in accordance with the laws of England and the parties irrevocably submit to the exclusive jurisdiction of the English courts.
